Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") form a legally binding agreement between you ("you," "your," or "User") and VoltexDeFi ("VoltexDeFi," "we," "our," or "us") governing your access to and use of our website, trading platform, mobile applications, and application programming interfaces (collectively, the "Platform").

These Terms incorporate by reference our:

2. Definitions

• "Account" means the trading account you establish with VoltexDeFi.
• "Digital Assets" means cryptocurrencies, tokens, and other blockchain-based assets supported on the Platform.
• "Order" means an instruction to buy, sell, or otherwise transact in Digital Assets submitted through the Platform.
• "Custodial Wallet" means the wallet infrastructure operated by VoltexDeFi in which supported Digital Assets are held on your behalf.
• "API" means the programmatic interfaces VoltexDeFi makes available for automated trading and account access.
• "Platform" means our website, applications, order books, and supporting infrastructure.
• "Regulatory Authorities" means applicable financial and virtual-asset regulators and law-enforcement bodies.

3. Description of services

3.1 Trading services

VoltexDeFi provides access to:

• Spot trading across supported Digital Asset pairs
• Margin trading, subject to eligibility and applicable limits
• On-chain swap connectivity to third-party liquidity sources
• Advanced order types, including stop-limit, OCO, trailing, and iceberg orders
• Market data, charting, and portfolio reporting tools

3.2 Custody and wallet services

Deposited Digital Assets are held in a combination of hot and cold storage, secured using multi-party computation. Section 6 describes this in more detail.

3.3 Developer and API access

We offer a documented REST and WebSocket API for programmatic trading and account access, subject to rate limits and a separate API Terms of Use where applicable.

4. Eligibility and account registration

4.1 Eligibility requirements

To use the Platform, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding agreements
• Not be a resident of, or located in, a jurisdiction where use of the Platform is prohibited by applicable law
• Not appear on any applicable sanctions or watch list
• Complete identity verification ("KYC") to the level required for your account tier

4.2 Registration and verification

Account registration requires accurate identity information, submission of required identification documents, and completion of anti-money-laundering (AML) screening before trading limits are unlocked.

4.3 Account security

You are responsible for maintaining the confidentiality of your credentials and API keys, enabling two-factor authentication, notifying us immediately of any unauthorized access, and monitoring your account activity.

5. Trading and order execution

Orders are matched on a price-time priority basis subject to available liquidity. We do not guarantee execution at any specific price, and market conditions (including volatility, latency, and liquidity) may cause orders to be filled at prices different from those displayed at submission.

We may, at our discretion and where reasonably necessary, cancel or adjust orders that result from a verified system error, or suspend trading in a market to protect the integrity of the order book, subject to applicable law.

Margin trading carries the risk of liquidation. If your account falls below the required maintenance margin, we may liquidate positions without further notice to bring your account back within limits.

6. Custody of digital assets

The majority of customer Digital Assets are held in geographically distributed cold storage, with only the balance required for day-to-day liquidity kept in hot wallets. Access to cold storage requires multi-party authorization.

Digital Assets are not covered by government deposit insurance schemes (such as FDIC or equivalent). VoltexDeFi maintains a proprietary insurance fund, separate from operating capital, as described in our public disclosures — this is not a substitute for regulatory deposit insurance.

7. Your obligations

7.1 Information accuracy

• Provide accurate, current, and complete information during registration and thereafter
• Notify us promptly of any change to that information
• Cooperate with any additional verification we reasonably request

7.2 Legal compliance

• Comply with all applicable laws, including tax reporting obligations in your jurisdiction
• Not use the Platform for any illegal or prohibited purpose
• Cooperate with regulatory or law-enforcement requests where legally required

7.3 Understanding the risks

You acknowledge that you understand the risks of trading Digital Assets, have reviewed our Risk Disclosure Statement, and accept sole responsibility for your trading decisions.

8. Fees and charges

Trading fees, withdrawal fees, and any applicable margin financing costs are set out in our Fee Schedule, which forms part of these Terms. Fees may vary by account tier, trading volume, and market, and may be updated from time to time with reasonable advance notice.

Network (blockchain) fees for on-chain withdrawals are set by the underlying network, not VoltexDeFi, and may fluctuate independently of our own fee schedule.

9. Risks and disclaimers

9.1 Market and asset risks

• Volatility risk: Digital Asset prices can move sharply in short periods.
• Liquidity risk: Some markets may have limited depth, affecting your ability to enter or exit a position at the expected price.
• Protocol risk: Forks, upgrades, or bugs in an underlying blockchain protocol may affect the value or transferability of a Digital Asset.
• Regulatory risk: Changes in law may restrict the availability of certain assets or services in your jurisdiction.
• Counterparty risk: Reliance on third-party liquidity venues for on-chain swaps carries risk of failure or default by that venue.

9.2 Technology and operational risks

• System outages, latency, or degraded performance during periods of high volatility
• Cybersecurity threats, including attempts to compromise accounts or infrastructure
• Errors in order routing, matching, or settlement

9.3 No guarantees

We do not guarantee investment returns, preservation of capital, continuous platform availability, or the accuracy of third-party market data displayed on the Platform.

10. Prohibited uses

You may not use the Platform to:

• Engage in money laundering, terrorist financing, or sanctions evasion
• Engage in market manipulation, wash trading, or spoofing
• Violate securities, commodities, or virtual-asset laws applicable to you
• Attempt unauthorized access to another user's account or to Platform infrastructure
• Transmit malware or interfere with the operation or security of the Platform
• Use the Platform for any commercial purpose not authorized by us in writing

11. Intellectual property

VoltexDeFi owns all rights to the Platform's software, design, trademarks, and documentation. We grant you a limited, non-exclusive, non-transferable license to use the Platform for your own trading purposes. You may not copy, reverse-engineer, or create derivative works from the Platform without our written permission.

12. Privacy and data protection

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the processing described there.

13. Limitation of liability

To the maximum extent permitted by law, the Platform is provided "as is" without warranties of any kind. We are not liable for indirect, consequential, or punitive damages, trading losses, or damages exceeding the fees you paid us in the twelve months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless VoltexDeFi, its officers, directors, and employees from claims arising out of your violation of these Terms, your use of the Platform, or inaccurate information you provide.

15. Termination

You may close your account at any time after settling open positions and withdrawing available funds. We may suspend or terminate your account immediately for violation of these Terms, suspected fraud, or where required by a Regulatory Authority. Confidentiality and indemnification obligations survive termination.

16. Dispute resolution

We encourage you to first contact our support team to resolve any dispute informally. Unresolved disputes will be submitted to mediation, and if mediation fails, to binding arbitration administered by a recognized arbitration body, except where prohibited by applicable law. You may still file complaints with relevant Regulatory Authorities.

17. Regulatory compliance

VoltexDeFi maintains AML and KYC programs consistent with applicable virtual-asset service provider regulations, including transaction monitoring and, where required, compliance with the Financial Action Task Force ("FATF") Travel Rule for qualifying transfers. We may be required to report account and transaction information to Regulatory Authorities.

18. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, government action, labor disputes, internet or blockchain network outages, or cyberattacks.

19. Modifications to these terms

We may update these Terms from time to time. We will post the updated Terms, update the "Last updated" date, and notify you of material changes. Continued use of the Platform after an update constitutes acceptance of the revised Terms.

20. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

21. Governing law

These Terms are governed by the laws of the Republic of Singapore, without regard to conflict-of-law principles, and any legal proceeding must be brought in the courts of Singapore, except where dispute resolution under Section 16 applies.
